Terms of Use

1. Acceptance of Terms

Welcome to Seampal. By accessing or using the Seampal platform (the "Service"), available at seampal.com, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Seampal ("we," "us," or "our"). By creating an account or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

Seampal is a web-based business management platform designed for tailors, seamstresses, fashion designers, and small tailoring businesses. The Service provides tools to:

  • Manage client records and contact information
  • Store and organize body measurements
  • Create and track orders with statuses and deadlines
  • Record payments and track expenses
  • Manage vendor contacts and information
  • Upload and store images related to orders and clients
  • Optionally collect payments from clients through integrated payment features

The Service is currently provided free of charge. We reserve the right to introduce paid plans, modify features, or change pricing at any time with reasonable notice to users.

3. User Accounts

To use Seampal, you must create an account by providing a valid email address and password. Account authentication and management are handled through Supabase, a third-party authentication and database service.

You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

You must be at least 16 years of age to create an account and use the Service. By creating an account, you represent that you meet this age requirement.

4. User Content and Data

You retain ownership of all data and content you submit to the Service ("User Content"), including client records, measurements, order details, payment records, expense data, and uploaded images.

By using the Service, you grant Seampal a limited, non-exclusive license to store, process, and display your User Content solely for the purpose of providing and improving the Service.

Data storage and third-party services:

  • Supabase: Your account data, client records, measurements, orders, payments, and expenses are stored securely in a Supabase-hosted database. Supabase provides authentication, database, and backend infrastructure for the Service.
  • Cloudinary: Images you upload (such as order reference photos, design inspirations, or client photos) are stored using Cloudinary, a third-party cloud-based image management service.
  • Paystack: If you choose to use payment collection features, payment processing is handled through Paystack, a third-party payment gateway. Seampal does not directly store your financial or banking details; such information is managed by Paystack in accordance with their own terms and privacy policies.

You are solely responsible for the accuracy, quality, and legality of your User Content. You represent and warrant that you have the necessary rights and permissions to submit all User Content to the Service.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Upload or transmit any content that is harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to send unsolicited communications, spam, or bulk messages
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated scripts or bots to access or interact with the Service
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the Service in a manner that could damage, disable, overburden, or impair the Service

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use provisions.

6. Intellectual Property

The Service, including its original content, features, functionality, design, logos, and branding (excluding User Content), is and will remain the exclusive property of Seampal and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the software, unless applicable laws prohibit these restrictions or you have our written permission.

The Seampal name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Seampal. You may not use such marks without our prior written permission.

7. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the use of the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • The Service will meet your specific requirements or expectations

You acknowledge that Seampal is a business management tool and not a substitute for professional financial, legal, or business advice. Any business decisions you make based on data within the Service are your sole responsibility.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Seampal, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service.

In no event shall our total liability to you for all claims arising from or related to the Service exceed the amount you have paid us in the twelve (12) months preceding the event giving rise to the claim, or fifty US dollars (USD $50), whichever is greater.

This limitation of liability applies regardless of the theory of liability, whether based on contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

9. Termination

You may stop using the Service and close your account at any time by contacting us at hello@seampal.com.

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms
  • Conduct that we believe is harmful to other users, us, or third parties
  • Extended periods of inactivity
  • Requests by law enforcement or government agencies
  • Discontinuation or material modification of the Service

Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, delete your User Content following termination. If you wish to export your data before closing your account, please contact us and we will make reasonable efforts to assist you.

10. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page and, where appropriate, notify you via email or through a notice within the Service.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree with the modified Terms, you should stop using the Service and close your account.

We encourage you to review these Terms periodically to stay informed of any updates.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation between the parties. If a resolution cannot be reached, the dispute shall be submitted to the exclusive jurisdiction of the courts of Nigeria.
